This agreement is entered into effective the _.._44_yof DEC.,2001 between the Port of Seattle(Port),aWashingtonmunicipalcorporation,andtheCityofSeaTac(City),a Washingtonmunicipalcorporation,inconnectionwiththerealpropertydescribedherein, andreferredtoasthe"Property"forthepurposesandonthetermsandconditionsset forthinthisagreement. I. RECITALS Whereas,theundevelopedrealproperty('Property)whichisthesubjectofthisagreement islocatedsouthofSouth200thStreetandwestof18thAvenueSouth(knownasBorrow Area#3)andnorthofSouth200e'Streetandwestandsouthof18thAvenueSouthand South196_ Street(knownasBorrowArea#4)andismoreparticularlydepictedin Attachment"A'"tothisagreement;and Whereas,thePortownsandoperatesSeattle-TacomaInternationalAirport(Airport) undertheauthorityoftheRevisedAirportsAct,Chap.14.08RCW, theAirportZoning Act,Chap.14.12RCW andcertainportdistrictenablingstatutes,Chap.53.08and.04 RCW; and Whereas,theCityisanon charter,codeCityorganizedpursuanttoTitle35A RCW, the OptionalMunicipalCode;and Whereas, the City and Port hereby agree that redeveloping the Property in an expedient manner and in accordance with theMaster Development Plan attached to this agreement as Attachment "B", once Borrow/Surface Mining activities have been completed, is in the interest of both parties; and Whereas, in 1997, the Port and the City entered into an Interlocal Agreement (1997 It.A) that settledlitigationconcerningtheirrespectivejurisdictionalauthoritiesover comprehensiveplanning,zoning,surfacewatermanagement,criticalareas,State EnvironmentalPolicyAct(SEPA)leadagencyresponsibilitiesandpolicejurisdictionas wellassettledtheCity'sappealoftheadequacyofthePort'senvironmentalreviewunder SEPA for the 1994-1997 Master Plan Update (Master Plan); and - _" Whereas, in 2000, the Port and the City entered into an Interlocal Agreement (2000 ILA) that settled litigation concerning surface water management fees and provided for the administration and implementation of the Uniform Codes by the Port; and Whereas, the 1997 ILA and the Airport Master Plan provided for the use of the Property as borrow/surface mining sites for the third runway and other Master Plan developments; - and EXHIBIT "C" AR 028396 Resolution No. 3469 1 Whereas,suchexcavationandgradingactivitiesareregulatedinaccordancewith provisionsofthe2000ILA consistentwithChapter13.11SMC andChapter16.82ofthe KingCountyCode;and Whereas,thePropertyisincludedinthePort'sapplicationforasection404permitfi'om theArmy CorpsofEngineersandthesection401waterqualitycertificationfi'omthe Depm_ncntofEcology;,and Whereas,byenteringintothisagreement,thePortandCityintendtoresolveanyandall outstandingissuesconcerningtheuseofthePropertyasborrow/surfaceminingsitesand concerningthefutureredevelopmentoftheProperty. H. AGREEMENT NOW, THEREFORE, forgoodandvaluableconsideration,thereceiptandadequacyof whichisherebyacknowledged,thePortandCityagreeasfollows: A.
